Having checked via google, I'm fairly certain in order to remove a director 28 days notice is required to pass an ordinary resolution (more than 50% of members). Michael Steele (per the last count) owned less than 50% so would need the support of another shareholder and even then the formalities have to be followed regarding the 28 days notice no matter how much of a ball ache and how few shareholders there may be.I agree with you, Pellon Boy, about how meetings can be held ad hoc to discuss certain matters, but as mentioned above to sack a director a notice period is required involving the members.
That's how I see it, and to be honest I think a knee jerk sacking for not hosting an event (surely this would have been known about long ago anyway?) seemed strange.
But whatever and however these resignations came about, there is obviously seems to be some major change afoot seeing that 2 of the only 3 directors have gone at the same time.
I'm sure the club is issue a statement shortly!
