The bottom line is you can't sit on both sides of the negotiating table, and if he has to recuse himself to avoid conflict of interest then I'm not convinced that's actually in anybody's interest.
I'm sure Caisley was an agent or some kind of player rep as well as having some kind of interest in the club after he was no longer chairman.
